DAS Replay — operated by Shark Belly Industries LLC, a New Mexico limited liability company 1209 Mountain Road Pl NE, Ste H, Albuquerque, NM 87110 · hello@email.dasreplay.com
These Founders Lifetime Terms (the “Lifetime Terms”) cover the Founders Lifetime seat on DAS Replay. They are extra terms that sit on top of our Terms of Service. You accept them at checkout when you buy a seat.
If these Lifetime Terms and the Terms of Service conflict about the seat, these Lifetime Terms control for the seat. Everything else in the Terms of Service still applies to you.
1. What the seat is
In short: $999 once, for All-Access with no session cap, for as long as we operate DAS Replay. 100 seats, sold until the cutover. It never renews.
- Price. A one-time payment of US $999, charged at checkout. There is nothing to renew and nothing further to pay.
- What it unlocks. The All-Access plan, including every desk we add to All-Access in the future.
- Replay sessions. No session allowance cap. You are not limited to the session count on the paid plans.
- How many. We sell at most 100 seats.
- When it is sold. Seats are sold until 11:59 p.m. Eastern time on October 5, 2026. After that time the offer is closed. Paid plans, and the first charges on them, begin at 12:00 a.m. Eastern time the next day.
- One account. A seat attaches to the one account that bought it.
2. What “lifetime” means
In short: the life of the product, not your life. Not a promise that any one feature stays.
“Lifetime”, and phrases like “for good” and “for the life of the product”, mean:
for as long as Shark Belly Industries LLC operates DAS Replay.
It does not mean:
- your lifetime, or any fixed number of years;
- that DAS Replay will exist for any particular length of time; or
- that any particular desk, market, feature, data set or date range will stay in the Service. We may change or retire any of them under Section 5 of the Terms of Service.
Section 7 of these Lifetime Terms says what happens if we stop operating DAS Replay.
3. What is included, and what is not
In short: you get All-Access and unlimited sessions. You do not get priority, an SLA, separately-sold products, or perks we have not built.
Included:
- the All-Access plan, and every desk we add to All-Access in the future;
- no replay session allowance cap; and
- no renewal charges, ever.
Not included. A seat does not give you:
- Priority at capacity. DAS Replay runs on shared servers with finite capacity. When they are busy, we may queue you, ask you to retry, or refuse to start a new session. A seat gets no priority and no reserved capacity (Terms of Service, Section 3.4).
- Any service level or uptime commitment. There is no SLA. The Service is provided “as is” and “as available” (Terms of Service, Sections 5.2 and 13.1).
- Products we sell separately from All-Access. If we launch something outside All-Access, a seat does not include it.
- Perks we have not built. A seat includes only what is listed above. It does not include gift months, a founders Discord, feature-request priority, or any other perk, unless and until we choose to add one. Anything we describe as “planned” or “coming soon” is not part of what you bought (Terms of Service, Section 4.11).
- Any right to keep a particular feature, market or data set that we change or retire.
4. One account, personal, non-transferable
In short: it is yours alone. You cannot sell it, gift it, split it or share it.
- A seat is personal to the account that bought it.
- You may not transfer, sell, assign, gift, rent, lend, split or pool a seat, or let anyone else use the account it sits on.
- The one-account, no-sharing and one-live-session rules in Section 3 of the Terms of Service apply to a seat exactly as they apply to a paid plan.
- If you close your account, the seat ends and cannot be restored (Terms of Service, Section 12.1).
5. No renewal, nothing to cancel
In short: it never charges you again, so there is nothing to cancel.
A seat is a single purchase. It does not renew, and your card is never charged again for it. There is no subscription to cancel and no cancellation date to watch.
If you want to stop using DAS Replay, you can simply stop. If you want your account closed and your data deleted, email us (Section 11). Closing the account ends the seat, and no refund is due.
6. Refunds
In short: the seat is non-refundable. We fix billing errors. We will not end a seat without cause.
- Non-refundable. The $999 payment is non-refundable, except where the law requires a refund.
- Billing errors. If we charged you in error — a duplicate charge, or a charge you did not authorize — we correct it. Tell us within 60 days of the charge appearing on your statement. This is not a limit on any statutory right you have.
- Discretion. We may refund at our discretion, case by case. Doing so once does not oblige us to do it again.
- We will not end a seat without cause. While we operate DAS Replay, we will end a seat only for cause, as Section 12.2 of the Terms of Service defines cause — material breach, fraud or abuse, chargeback abuse, non-payment, a legal or data-provider requirement, or long inactivity with no paid plan or seat.
- If we end a seat for cause, or where the law requires us to end it, no refund is due, except where the law requires one.
- A refund ends the seat. If the $999 is ever refunded in full, the seat and its access end and the seat returns to the 100 we sell. A partial refund does not end the seat.
This matches the refund rules in Section 4.12 of the Terms of Service and the Subscription, Cancellation & Refund Policy. If the Refund Policy and these Lifetime Terms differ on a billing detail, the Refund Policy controls.
7. If we stop operating DAS Replay
In short: if the product shuts down, the seat ends with it. We give you reasonable advance notice by email where we reasonably can — we do not commit to a fixed number of days — and no refund is due unless the law says otherwise.
A seat lasts for as long as Shark Belly Industries LLC operates DAS Replay (Section 2). If we stop operating it — because we shut the product down, wind the company down, or discontinue the Service — then:
- we will give seat holders reasonable advance notice by email where we reasonably can, to the address on your account — we do not commit to a fixed number of days’ notice, and the same applies to subscribers (Terms of Service, Section 12.3);
- the seat ends when the Service ends; and
- no refund is due, except where the law requires one.
We understand this is the hardest term on this page, and we have written it plainly rather than burying it. You are buying access to a product that exists today, on the understanding that it may not exist forever.
If we sell the business or transfer DAS Replay to someone else, the buyer takes on our obligations for your seat (Terms of Service, Section 15.2). That is a transfer, not a shutdown, and the seat continues.
8. EU and UK consumers: the right to withdraw
In short: you have 14 days to change your mind. That right ends when you start your first replay session, but only once you have asked us for immediate access and we have confirmed it to you.
If you are a consumer in the European Union or the United Kingdom, you have a right to withdraw from your purchase within 14 days, without giving a reason. To withdraw, email us (Section 11) with a clear statement that you are withdrawing.
We are adding a step at checkout that asks you to expressly request that we give you access straight away, during the withdrawal period, and to acknowledge that you lose your right to withdraw once you start your first replay session, together with an email confirming both. Where you have given that request and acknowledgment and we have confirmed it to you, your right to withdraw ends when you start your first replay session on the seat. Where you have not, or we did not send that confirmation, your right to withdraw runs for the full 14 days. If you withdraw while the right still applies, we refund the $999 in full.
Any refund after that point is at our discretion, case by case. Section 11 of the Subscription, Cancellation & Refund Policy has the details and a model withdrawal form, and controls on the billing detail.
9. How these terms fit with our other documents
In short: the Terms of Service and Privacy Policy still apply in full. These Lifetime Terms only override them on the seat.
- The Terms of Service governs your use of DAS Replay, including acceptable use, disclaimers, the limitation of liability, and dispute resolution and arbitration in its Section 14. It applies to you in full. These Lifetime Terms control only where they conflict with it about the seat.
- The Privacy Policy explains what data we collect and how we use it. Buying a seat does not change it.
- The Subscription, Cancellation & Refund Policy controls on billing detail.
- The Risk & Simulated Performance Disclosure explains the limits of simulated trading. A seat buys you more practice, not a better outcome. Everything in DAS Replay is simulated, and success in it does not mean you will succeed in real trading.
10. Changes to these Lifetime Terms
We may update these Lifetime Terms. For material changes, we will email seat holders 30 days before they take effect and show a notice in the app, on the same basis as Section 15.1 of the Terms of Service. Changes never apply retroactively. Changes that are not material, such as clarifications and fixes, take effect when posted. We keep previous versions available on request.
